TSSA Board Attendance
To enhance the effectiveness of Board and Committee meetings, each director shall*:
- Prepare for Board and committee meetings by becoming familiar with the issues to be discussed and the meeting materials distributed in advance for each meeting
- Ensure he/she has adequate information for decision-making
- Be willing to act on – and remain accountable for – boardroom decisions
- Maintain an excellent Board and committee meeting attendance record by devoting sufficient time to Board matters, including orientation and ongoing development. The target is 100% attendance. Anything less than 75% without extenuating circumstances, would create considerable concern for the Board.
- Actively participate in Board and committee meetings
- Declare potential conflicts of interest and abstain from discussions and votes where there is a potential for conflict
- Value Board and team performance over individual performance
- Respect and listen to the opinions of others
- Approach others responsibly and supportively, and be willing to raise tough questions in a manner that encourages open discussion
