About TSSA's Board of Directors
Our Board is responsible for stewardship, including overseeing our organization and taking a leadership role in the development of our strategic direction. As a not-for-profit corporation with unique delegated safety responsibilities, TSSA's Board of Directors recognizes its accountability to the public. This Board Charter incorporates a number of existing best practices in corporate governance, including:
- Annual review of Board Charter, standing committee terms of reference and supporting governance work plans
- Leadership role in all stages of the development of the strategic plan
- A detailed assessment of all corporate risks and appropriate mitigating actions
- Evaluation of the CEO against an annual performance contract
- Annual Board, Board Chair, Committee Chair, Committee and peer evaluations, conducted by an independent third party
Board Composition
The Board consists of 13 members:
- nine elected directors;
- three members appointed by the Ontario Minister of Government Services; and
- one Ex officio member, the President and Chief Executive Officer.
Elected directors may serve a maximum of three consecutive three-year terms, and retire in rotation. At least three elected directors shall have work experience from any of the following sectors: amusement devices, boilers and pressure vessels, elevating devices, natural gas, operating engineers, petroleum, propane, ski lifts or upholstered and stuffed articles. At least three elected directors will be not directly reflective of the sectors identified above.
